Companies Act Section 345 — Books and papers of company to be evidence

CHAPTER XX WINDING UP

Commercial / Corporate

Summary

When a company is being wound up, all its books and papers, along with those of the Company Liquidator, are treated as prima facie evidence of the truth of everything recorded in them. This means that, in any dispute among the contributories (the people liable to contribute to the company's assets), the records are accepted as true unless proven otherwise.

Official Text

Where a company is being wound up, all books and papers of the company and of the Company Liquidator shall, as between the contributories of the company, be prima facie evidence of the truth of all matters purporting to be recorded therein.
