Summary

Where any right, duty or liability would normally arise in a contract of sale because the law implies it, that right, duty or liability can be removed or changed. This can be done through an express agreement between the parties, through the way the parties have dealt with each other in the past, or through a usage or custom, provided that the usage is one that binds both parties to the contract.

Where any right, duty or liability would arise under a contract of sale by implication of law, it may be negatived or varied by express agreement or by the course of dealing between the parties, or by usage, if the usage is such as to bind both parties to the contract.
